By receiving this Proposal, the recipient agrees to maintain its confidentiality and not to disclose, reproduce, or distribute any part of this document without the prior written consent of the Company.
- Non-Binding Nature: This Proposal is not a binding agreement and does not constitute an offer to enter into a contract. Any formal engagement will require execution of a separate written agreement between the parties.

- Entire Understanding: This Proposal represents the current understanding of the potential engagement and supersedes all prior discussions. Any modifications must be made in writing and agreed upon by both parties.
